Prize

The Contest will award prizes each day during the Contest period (each a “Contest Day”), for a total prize pool of USD $64,000 (sixty four thousand U.S. dollars) across four (4) Contest Days. On each Contest Day, prizes are awarded to the top three Participants by verified posted score on X (formerly Twitter) or Instagram, as follows:

• 1st Place — USD $10,000: Highest score posted that day
• 2nd Place — USD $5,000: Second highest score posted that day
• 3rd Place — USD $1,000: Third highest score posted that day

Each Contest Day produces an independent set of winners. A Participant who wins on one Contest Day is eligible to win again on a subsequent Contest Day. There is no carry-over of scores between Contest Days.

Sponsor may, in its sole discretion, award one additional discretionary recognition on any Contest Day. The existence, amount, and award of any such recognition are entirely at Sponsor's sole and absolute discretion, and Sponsor is under no obligation to grant it. Where awarded, all provisions of these Rules applicable to Prizes and Winners shall apply.

Sponsor

The Contest is sponsored and administered by Wix.com Ltd., which provides an AI-powered platform under the brand name of Base44 (together with its worldwide affiliates and subsidiaries) (“Sponsor”), having its principal offices at 5 Yunitsman Street, Tel Aviv, Israel.

Eligibility

The Contest is open only to persons (“Participant/s”) who: (i) are legal residents of, and are physically located in, a jurisdiction in which this type of contest is permitted, and who are not legal residents of, physically located in, or accessing the Contest from any jurisdiction where this type of contest is prohibited or restricted; (ii) are not identified on, or owned or controlled by a party identified on, any applicable sanctions or restricted-party list, including the U.S. Specially Designated Nationals and Blocked Persons List; and (iii) meet the age requirements set forth below.

Age. A Participant must satisfy the minimum age requirements to use the Platform and to maintain an account on X (formerly Twitter) or Instagram at the time of entry.

Employees of Sponsor and its respective parent, affiliates, subsidiaries, advertising and promotion agencies, distributors and other prize suppliers, directors, officers, and each of their immediate family members and/or those living in the same household of each, and any individuals serving as judges of the Contest, are not eligible to enter the Contest or to win any Prize. This Contest is void where prohibited by law.

Entry Period

The Contest runs for four (4) consecutive Contest Days. Each Contest Day opens at 8:00 a.m. ET and closes at 7:59 p.m. ET on that day. The four (4) Contest Days are:

• Contest Day 1: August 24, 2026
• Contest Day 2: August 25, 2026
• Contest Day 3: August 26, 2026
• Contest Day 4: August 27, 2026

Each Contest Day features a different game. Only scores posted on X or Instagram during the applicable Contest Day's window are eligible for that day's Prize. All dates and times are subject to change at Sponsor's sole discretion. Sponsor's computer is the official time-keeping device for the Contest.

Winner announcement. Daily winners will be revealed and announced at the end of each Contest Day from among validated Qualifying Reposts, as further described in the “Determining the Winner” section below.

How to Enter

To enter on any Contest Day, a Participant must complete all of the following steps (collectively, an “Entry”):

Step 1 — Find the Post. Locate the official daily Contest announcement post made by @Base44 on X and/or Instagram for that Contest Day (the “Daily Post”).

Step 2 — Access the Game. Visit base44.com and write ‘can’t is dead’ (the “Game”).

Step 3 — Play and Score. Play the Game to achieve a score. The Game will generate a ready-made score video displaying the Participant's score (the “Score Video”).

Step 4 — Post on X or upload a story on Instagram. On X: from your own X account, Repost that Contest Day's Daily Post and include your Score video in the Repost. On Instagram: upload your Score video as a story tagging @Base44 (publications on X or Instagram shall be regarded as “Qualifying Publications”). Only Score videos submitted as a Qualifying Publication of the official Daily Post for that Contest Day on X, or as an Instagram story, will be counted. Posted = counted. A reply to the Daily Post, a Repost that does not include your Score video, or any post that does not both repost the Daily Post and include your Score video will not count.

Qualification. To be eligible for a Prize on a given Contest Day, an Entry must: (i) be uploaded as a Qualifying Publication for that Contest Day before 7:59 a.m. ET on next day; (ii) include the Score video generated by the Game; and (iii) tag @Base44 (on Instagram only). An Entry that is missing any required element, or that cannot be verified by Sponsor, will not be counted.

Frequency. A Participant may play as many times as they wish on any Contest Day and may re-post an updated Score Video. However, only the single highest-scoring verified on a Qualifying Publication from a given Participant's X or Instagram account will be considered for Prize determination on any given Contest Day. Each Participant may submit only one (1) counted Entry per Contest Day.

No purchase or payment is necessary to enter or win. A paid Base44 subscription is not required to enter; however, using the Platform may consume usage credits, and Participants are responsible for their own usage in accordance with the Terms of Service.

Proof of posting an Entry will not be deemed to be proof of receipt or verification by Sponsor. The odds of winning depend on the scores and number of Entries received. Sponsor has no obligation to notify a Participant of a non-compliant Entry.

At the request of Sponsor, a Participant must provide a copy of a driver's license or passport for identification and age confirmation, and any other documentation required by Sponsor to verify compliance. If a Participant fails to provide such documentation within three (3) days from the date of the request, or if false or incomplete information is provided, or in case of any other violation of the Rules, Sponsor has the right to disqualify the Entry and to prohibit such Participant from further participation.

SPONSOR RESERVES THE RIGHT TO DISQUALIFY FROM THE CONTEST ANY ENTRY WHICH DOES NOT COMPLY WITH THESE RULES, OR FOR ANY OTHER REASON, AS SPONSOR DEEMS FIT, AT SPONSOR'S SOLE AND ABSOLUTE DISCRETION.

Determining the Winner

This is a skill-based Contest. Each Contest Day's winners are determined as follows.

Scoring. Prizes are awarded based on the verified scores submitted as Qualifying Publication on X or Instagram. The three (3) Participants with the highest verified scores on a given Contest Day will receive the corresponding daily Prizes set out in the Prize section above. Where a Participant posts multiple Score Videos on the same Contest Day, only the single highest score is counted.

Verification. Before a Prize is awarded, Sponsor will verify that the Score Video is genuine and was produced by the Game during the applicable Contest Day. Sponsor may employ technical and manual methods to verify each score's authenticity. Selection as a potential winner is contingent upon successful verification of eligibility and compliance with these Rules.

Tie-breaker. In the event of a tie in verified score for any Prize position, Sponsor will resolve the tie by selecting, in its sole discretion, the earlier of the tied posts (by X or Instagram timestamp), or by such other reasonable method as Sponsor determines.

All determinations of winners are made in Sponsor's sole and absolute discretion and are final and binding in all respects. Sponsor is not obligated to provide scoring details to any non-winning Participant.

Prize Payment

Sponsor will award each daily Winner the applicable Prize amount. Payment will be made in U.S. dollars, within thirty (30) days after Winner verification and receipt of all required tax and payment details, by electronic funds transfer, through a third-party payment provider, or by other commercially reasonable method selected by Sponsor in its sole discretion. The Winner agrees to comply with any additional requirements or terms imposed by Sponsor's chosen payment method, including those of any third-party payment provider. The Winner is responsible for any fees charged by the Winner's bank or payment provider and for providing accurate payment details. If the Winner does not timely provide required information or cannot accept payment by available methods, Sponsor may, in its discretion, select an alternate Winner or deem the Prize forfeited.

The Prize is awarded “AS IS” and without warranty of any kind, express or implied. Sponsor and the Released Parties (as defined below) expressly disclaim all implied warranties.

The Prize is non-transferable, with no equivalents or substitutions except at Sponsor's sole and absolute discretion. Sponsor reserves the right to substitute the Prize with a prize of comparable or greater value in its sole and absolute discretion.

Taxes. The Winner is solely responsible for all applicable taxes and reporting obligations. Sponsor may withhold tax prior to payment unless the Winner timely provides a valid exemption certificate or other documentation satisfactory to Sponsor. Required tax documentation must be provided before the Prize is paid; Sponsor will issue appropriate tax reporting reflecting the Prize value and any withholding applied.

Winner Notification and Prize Claiming

Sponsor will announce daily winners at the end of each Contest Day, including on Base44's official channels and/or the Daily Post on X or Instagram, at Sponsor's discretion. Sponsor will also notify potential winners via direct message on X or Instagram or by any other method Sponsor sees fit. Sponsor has complete discretion over the administration of the Contest and the interpretation of these Rules. Decisions concerning selection of Winners are final.

The potential Winner will be required to comply with all instructions provided by Sponsor within the timeframe specified in Sponsor's notices. Sponsor may conduct a background check to confirm the potential Winner's eligibility and compliance with these Rules. By entering, the Participant agrees to cooperate reasonably with any such background check.

The potential Winner shall be required to submit a prize acceptance agreement/release and return the same within the time period specified before being eligible to receive the Prize.

If a potential Winner fails to cooperate with Sponsor, Sponsor reserves the right to disqualify the potential Winner and either forfeit the Prize or grant it to a runner-up, at Sponsor's sole discretion.

Intellectual Property

The Contest, all promotional and marketing materials related thereto, all related web pages, the Games, content, and code are the property of Sponsor. The copying or use of any of those materials, associated trademarks, or any other intellectual property without the express written consent of Sponsor is strictly prohibited.

By submitting an Entry (including any Score Video or associated content) to Sponsor (“Participant Content”), the Participant represents and warrants that the Participant owns all rights in and to the Participant Content or otherwise has the full power, title, licenses, consents, and authority necessary to legally use, publish, transfer, or license any and all rights and interests in and to such Participant Content, and that it does not infringe upon any third-party rights.

License for Contest Administration and Marketing. Participant grants Sponsor a non-exclusive, worldwide, royalty-free, sublicensable license to reproduce, display, distribute, modify, and use the Entry and the Participant Content for any purpose, including Contest administration, verification, and Sponsor's marketing activities across any channel or media. Sponsor will use reasonable efforts to credit Participant but is not obligated to feature any Entry on any specific channel, timeline, or duration.

Publicity Release

Except where prohibited by law, Sponsor may showcase the Winner's Entry, name, username, photograph, and any other communications or comments related to the Contest (collectively, “Likeness”) for publicity purposes, in any and all Sponsor-owned and operated channels, without payment to the Participant.

Upon Sponsor's request, each Participant will provide (within the timelines specified by Sponsor) a signed release or consent from any person who appears in the Entry, authorizing Sponsor to use such Entry as stipulated herein. Releases must be in the form provided by Sponsor or otherwise satisfactory to Sponsor.

Participant Representations, Warranties and Indemnity

By participating in the Contest, the Participant represents, warrants, undertakes, and agrees that:

(a) The Participant has read, understood, and undertaken to fully comply with these Rules and with the Base44 Terms of Service and Responsible Use Policy.

(b) The Participant has the right and legal standing to agree to and be bound by these Rules and to enter and register for the Contest (and, in the case of a Minor, that the Participant's parent or legal guardian has consented and agreed on the Minor's behalf).

(c) The Participant complies with all applicable laws, rules, and regulations.

(d) The Entry and all content submitted by the Participant does not and will not infringe the copyrights, trademarks, rights of privacy, publicity, or other intellectual property or other rights of any person or entity.

(e) The Entry does not violate these Rules or any applicable federal, state, provincial, or local laws, rules, and regulations, and does not contain any content which is unlawful for the Participant to possess, post, or disseminate, or which would be unlawful for Sponsor to use or possess in connection with the Contest.

(f) The Participant agrees to indemnify and hold harmless the Released Parties from any and all claims, demands, losses, promises, causes of action, and/or liabilities for any injuries, losses, death, or damages of any kind caused, directly or indirectly, in whole or in part, by the Participant's participation in, or preparation for, the Contest, any Contest-related activity, the Entry, or resulting from the acceptance, possession, quality, execution, utilization, or misuse of the Prize (or any portion thereof), or any activity related thereto.

Should the Participant win a Prize, the Participant further represents, warrants, and agrees that:

(i) The Participant shall, where requested by Sponsor, post content in connection with the Contest, which (a) must not contain false or misleading statements regarding Sponsor, (b) will comply with any marketing guidelines Sponsor provides, and (c) will comply with all applicable laws, rules, and regulations, including disclosing the material connection regarding receipt of the Prize, in accordance with the Federal Trade Commission's 16 CFR Part 255 (the “FTC Guides”).

(ii) The Participant shall keep in strict confidence the Participant's winning and shall not disclose to any third party any detail related to the Prize and/or the Participant's selection as a Winner, until the winning is announced publicly by Sponsor.

(iii) The Participant shall promptly and fully cooperate with Sponsor regarding the execution of the Prize and use of the Participant Content and Likeness.

If the Winner fails within any indicated time period to comply with this section or otherwise cooperate with Sponsor as required, Sponsor reserves the right to disqualify the Winner and either forfeit the Prize or grant it to a runner-up, at Sponsor's sole discretion.

Privacy and Contest Communications

Participation in the Contest and the personal information collected from Participants during the Contest are subject to Base44's Privacy Policy, available at https://base44.com/privacy-policy, and the Base44 Terms of Service.

By entering this Contest, the Participant understands that Sponsor and its third-party vendors and advertising or promotion agencies may use the Participant's personal information (including email address and X or Instagram handle) for administration of the Contest, the fulfillment of the Prize, and, where consented to or otherwise permitted by applicable law, for marketing purposes. The Participant consents to the use of the Participant's information by Sponsor and its advertising or promotion agencies for such purposes, and to the use of the Entry by Sponsor for judging and Prize-fulfillment purposes.

Release

By participating, the Participant releases Sponsor and its affiliates, subsidiaries, agents, directors, officers, and employees (the “Released Parties”) from any and all claims, losses, or liabilities of any kind arising out of or related to the Contest, the Entry, or the Prize, including claims of copyright or trademark infringement, defamation, or infringement of privacy or publicity rights.

The Released Parties are not responsible for any errors in the administration of the Contest, lost or misdirected Entries, or any technical failures. Participation is at the Participant's own risk.

Suspension / Modification / Termination

Sponsor may modify, suspend, or terminate the Contest at any time due to Force Majeure events, legal requirements, or at its sole discretion. If terminated, Sponsor may select Winners from eligible Entries received prior to termination or forfeit the applicable Prize.

Tampering; Anti-Cheat

Sponsor will disqualify any individual that attempts to damage, tamper with, or undermine the legitimate operation of the Contest. Any attempt to deliberately damage any application or system associated with the Contest, or to undermine the legitimate operation of the Contest, may violate criminal and civil laws; should such an attempt be made, Sponsor will disqualify any Participant responsible, and Sponsor and/or its agents reserve the right to seek damages (including attorneys' fees) and other remedies to the fullest extent permitted by law.

Each Entry must represent a genuine score achieved by the Participant through actual gameplay. Sponsor reserves the right to audit any Entry and to disqualify any Entry that, in Sponsor's sole discretion: (i) was not genuinely produced by the Game during the applicable Contest Day; (ii) misrepresents the Participant's score or gameplay; (iii) was produced by automated, scripted, or bot-assisted means; (iv) uses artificially inflated or fraudulent scores; or (v) otherwise circumvents these Rules. The same individual may not enter under multiple X or Instagram accounts or identities.

Governing Law

All issues arising out of or relating to the Contest and these Rules shall be governed exclusively by, and construed in accordance with, the laws of the State of Israel, without regard to its conflict-of-laws principles. The parties hereby submit to the exclusive jurisdiction of the competent courts of Tel Aviv, Israel.

Limitation of Liability / Disclaimer of Warranties

TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ALL PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND; SPONSOR AND THE RELEASED PARTIES DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE; (2) PARTICIPATION IS AT YOUR OWN RISK AND SPONSOR DISCLAIMS ANY LIABILITY FOR DAMAGE TO ANY COMPUTER SYSTEM OR LOSS OF DATA IN CONNECTION WITH THE CONTEST; (3) ANY CLAIMS ARE LIMITED TO ACTUAL OUT-OF-POCKET COSTS NOT TO EXCEED $10.00, WITH NO RECOVERY OF ATTORNEYS' FEES; AND (4) YOU WAIVE ANY RIGHT TO PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, LOST PROFITS, MULTIPLIED DAMAGES, OR EQUITABLE RELIEF.
